Terms of Service

Effective Date: October 5, 2026

These Terms of Service (“Terms”) govern your access to and use of the Finivah website, software platform, applications, bookkeeping services, and related products and services (collectively, the “Services”).

The Services are provided by FINIVAH LLC, a Virginia limited liability company (“Finivah,” “we,” “us,” or “our”).

By creating an account, purchasing a subscription or Service, clicking to accept these Terms, or accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, our Refund & Cancellation Policy, and any additional terms presented in connection with a particular Service.

If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

If you use the Services on behalf of a company, organization, client, or other entity, you represent and warrant that you have authority to bind that entity to these Terms and to provide Finivah with access to information submitted on its behalf.

2. Finivah Services

Finivah provides accounting and bookkeeping software and related services designed to help businesses organize, categorize, reconcile, review, and understand their financial records.

Depending on the plan and Services selected, Finivah may provide features including transaction categorization, account reconciliation, invoicing and bill management, financial reporting, document management, bookkeeping review and support, managed bookkeeping, budgeting, forecasting, financial insights, and AI-assisted functionality.

Features, functionality, limits, availability, and service levels may vary by subscription plan and may change as the Services develop.

3. Account Registration and Security

You must provide accurate, complete, and current information when creating and maintaining your account.

You are responsible for maintaining the confidentiality and security of your credentials and for activity occurring through your account or authorized users.

You must promptly notify Finivah if you know or reasonably suspect that your account, credentials, or data have been accessed or used without authorization.

You are responsible for ensuring that anyone you authorize to access your account or business information has appropriate authority and permission to do so.

4. Customer Responsibilities

The quality and accuracy of the Services depend substantially upon the accuracy, completeness, and timeliness of information supplied by you.

You are responsible for:

  • providing complete, accurate, and current financial information;
  • reviewing transaction classifications, reconciliations, journal entries, reports, calculations, and other financial information;
  • identifying and correcting inaccurate or incomplete information;
  • providing information or documentation reasonably requested in connection with Services;
  • maintaining appropriate supporting documentation;
  • determining whether information generated through the Services is appropriate for your business;
  • obtaining any authorizations required to provide data relating to employees, customers, vendors, clients, or other third parties; and
  • complying with your accounting, tax, regulatory, filing, payment, and record-retention obligations.

You retain final responsibility for your books, records, financial statements, filings, business decisions, and information submitted to governmental authorities or other third parties.

You are responsible for maintaining independent copies of original financial records, source documents, bank statements, receipts, invoices, tax records, contracts, and other information that you are legally or operationally required to retain. Finivah should not be used as the sole repository for records that must be preserved.

5. AI-Assisted and Automated Features

Certain Finivah features may use artificial intelligence, machine learning, automated rules, algorithms, or similar technologies to assist with transaction categorization, financial analysis, summaries, suggestions, forecasts, or other functionality.

AI-generated and automated results may contain errors, omissions, inaccuracies, or inappropriate classifications and may not account for circumstances unique to your business.

You are responsible for reviewing and approving information generated or suggested by AI-assisted or automated features before relying upon it for bookkeeping, accounting, tax reporting, financial reporting, compliance, or business decisions.

Finivah does not guarantee the accuracy, completeness, reliability, or suitability of AI-generated or automated outputs.

6. No Professional Advice

Except where Finivah expressly agrees otherwise in a separate written engagement, the Services do not constitute legal, tax, investment, audit, assurance, or other regulated professional advice.

Financial reports, forecasts, budgets, analyses, categorization suggestions, summaries, and other information available through Finivah are intended to assist with business recordkeeping and decision-making and should be independently reviewed for accuracy and suitability.

Finivah does not represent or warrant that use of the Services will satisfy or ensure compliance with any accounting, tax, legal, regulatory, reporting, recordkeeping, or other obligations applicable to you or your business. You are responsible for determining and complying with the requirements applicable to your business.

Use of Finivah does not create an attorney-client, investment-adviser, auditor-client, or similar regulated professional relationship.

You should consult an appropriately qualified professional when professional advice or services are required.

7. Subscription Plans, Fees and Billing

Certain Services require a paid recurring subscription.

Prices, billing frequency, included features, transaction allowances, company allowances, and applicable add-ons are disclosed on the Finivah website or during the purchasing process.

Recurring subscriptions automatically renew at the applicable billing interval unless canceled before renewal in accordance with the applicable cancellation terms.

Applicable taxes may be charged in addition to displayed subscription prices based on applicable law and customer location.

You authorize the applicable payment provider to charge amounts associated with your selected subscription, renewal, add-ons, usage, and other purchases according to the terms presented at purchase.

Failure to pay amounts when due may result in restriction, suspension, or termination of paid Services.

8. Price and Service Changes

Finivah may introduce, modify, discontinue, or change subscription plans, fees, features, usage limits, add-ons, and other aspects of the Services from time to time.

Changes applicable to existing paid subscriptions will take effect in accordance with applicable law and any notice requirements that apply.

Continued use of an affected Service after a change becomes effective constitutes acceptance of that change to the extent permitted by applicable law.

9. Transaction Volume and Additional Companies

Certain Finivah plans include specified transaction and company allowances.

For Self-Managed plans, the subscription includes the transaction allowance disclosed on the applicable pricing page. Usage above the included allowance may result in additional recurring transaction-volume charges as disclosed before purchase.

Additional companies may require separate recurring charges.

Where transaction-volume pricing applies, applicable usage may be measured for each company and billing period according to Finivah’s then-current billing rules.

Customers are responsible for charges generated by usage associated with their account and authorized companies.

10. Optional Services and Add-Ons

Customers may purchase optional services and add-ons including CFO & Growth, Review & Help, additional companies, additional transaction volume, and other Services offered by Finivah.

Add-ons may carry separate recurring charges and may be associated with a particular company.

Applicable prices and billing terms will be disclosed before purchase.

11. Managed Bookkeeping Services

Customers who select Managed Bookkeeping authorize Finivah and its authorized personnel or contractors to perform bookkeeping activities using information and records supplied or made available by the customer.

Managed Bookkeeping pricing may depend on transaction volume, business complexity, scope, or other factors disclosed before service begins.

Customers remain responsible for providing timely, accurate, and complete information and for reviewing financial records and reports made available through the Services.

Managed Bookkeeping does not constitute an audit, review, compilation, tax return preparation, legal service, investment service, or other regulated professional engagement unless separately agreed in writing.

Finivah’s ability to perform Managed Bookkeeping may depend upon the customer’s cooperation and timely provision of information.

12. Professional and Accountant Access

Where Finivah permits accountants, bookkeepers, professional practices, or other authorized representatives to access or manage client companies, the professional user represents and warrants that it has appropriate authorization from each client to access, process, and manage that client’s information.

Customers are responsible for determining which users and professionals may access their company information.

Finivah may rely on permissions and authorizations established through the applicable account unless we have reason to believe they are unauthorized.

13. Paddle Payments

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for orders processed through Paddle. Paddle provides payment-related customer service and handles returns for those transactions.

Paddle may process payments, applicable transaction taxes, invoices, subscription billing, renewals, refunds, fraud prevention, and other payment-related functions.

Purchases processed through Paddle are also subject to Paddle’s applicable buyer terms and policies.

Finivah does not receive or store full payment-card information for transactions processed by Paddle.

14. Cancellation and Refunds

You may cancel a recurring subscription using available account or billing functionality or other cancellation methods communicated by Finivah.

Unless otherwise stated or required by applicable law, cancellation takes effect at the end of the current paid billing period and prevents subsequent renewal charges.

Cancellation does not automatically entitle you to a refund for amounts already paid.

Refund eligibility is governed by Finivah’s Refund & Cancellation Policy, Paddle’s applicable policies for Paddle-processed transactions, and mandatory rights provided by applicable law.

15. Acceptable Use and Prohibited Activities

You may not use or permit another person to use the Services:

  • for unlawful, fraudulent, deceptive, abusive, or malicious activities;
  • in violation of applicable laws, regulations, orders, or third-party rights;
  • to provide false, misleading, fraudulent, or unauthorized information;
  • to gain unauthorized access to accounts, systems, networks, or data;
  • to interfere with, disrupt, damage, overload, or compromise the Services;
  • to introduce malware, viruses, malicious code, or other harmful technology;
  • to probe, scan, or test vulnerabilities without authorization;
  • to circumvent usage limits, billing controls, security controls, or access restrictions;
  • to reverse engineer, decompile, disassemble, copy, modify, or create derivative works from protected portions of the Services except where applicable law expressly permits;
  • to resell, sublicense, rent, lease, or commercially exploit the Services except where expressly authorized;
  • to impersonate another person or misrepresent authority to act for another business or person;
  • to infringe intellectual-property, privacy, confidentiality, or other rights; or
  • in any manner reasonably likely to harm Finivah, its customers, service providers, infrastructure, reputation, or third parties.

Finivah may investigate suspected misuse and may cooperate with lawful requests from governmental authorities or law enforcement where required or permitted by law.

16. Customer Data and Permissions

As between you and Finivah, you retain your rights in business information and content you provide to Finivah (“Customer Data”).

You grant Finivah a non-exclusive right to host, copy, transmit, process, analyze, display, and otherwise use Customer Data as reasonably necessary to provide, secure, maintain, support, administer, and improve the Services, subject to our Privacy Policy and applicable law.

You represent and warrant that you have all rights, permissions, consents, and lawful bases necessary to provide Customer Data to Finivah and permit its processing in connection with the Services.

17. Aggregated and De-Identified Information

To the extent permitted by applicable law and our Privacy Policy, Finivah may generate and use aggregated, statistical, or de-identified information derived from use of the Services where such information does not reasonably identify you or an individual.

Such information may be used to operate, secure, analyze, improve, and develop Finivah and its Services.

18. Intellectual Property

Finivah and its licensors retain all right, title, and interest in the Finivah platform, software, technology, website, designs, interfaces, branding, trademarks, documentation, algorithms, content, and other materials provided as part of the Services, excluding Customer Data and third-party materials.

Subject to these Terms and payment of applicable fees, Finivah grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the applicable Services for your internal business purposes during the applicable subscription or authorized access period.

No rights are granted except those expressly stated in these Terms.

19. Feedback

If you voluntarily provide suggestions, ideas, recommendations, feedback, or proposed improvements regarding Finivah or the Services, you grant Finivah the right to use and incorporate that feedback without restriction or compensation to you, provided that doing so does not grant Finivah ownership of your Customer Data.

20. Third-Party Services and Integrations

Finivah may integrate with or rely upon third-party software, financial institutions, infrastructure, artificial-intelligence providers, hosting providers, payment providers, data providers, or other services.

Third-party services are outside Finivah’s control and may be modified, interrupted, restricted, or discontinued.

Finivah does not guarantee the availability, accuracy, security, performance, or continued operation of third-party services.

Your use of third-party services may be governed by separate agreements and privacy policies between you and those providers.

To the maximum extent permitted by law, Finivah is not responsible for losses resulting solely from the acts, omissions, outages, failures, or changes of third-party services outside Finivah’s reasonable control.

21. Service Availability, Maintenance and Modifications

Finivah does not guarantee uninterrupted or error-free operation of the Services.

The Services may be unavailable or degraded because of maintenance, updates, security events, telecommunications or internet failures, third-party outages, software or hardware failures, force majeure events, or circumstances outside Finivah’s reasonable control.

Finivah may modify, update, replace, restrict, suspend, or discontinue features or functionality from time to time.

Where required by applicable law or contractual commitment, Finivah will provide applicable notice.

22. Data Availability and Backups

Finivah uses commercially reasonable measures to maintain and protect information used in providing the Services, but no electronic system or storage environment can be guaranteed to be completely secure, continuously available, or free from data loss.

You are responsible for maintaining independent copies of records that are important to your business or that you are legally required to retain.

To the maximum extent permitted by applicable law, Finivah does not guarantee that Customer Data will never be lost, corrupted, delayed, unavailable, or affected by circumstances outside Finivah’s reasonable control.

23. Suspension, Refusal and Termination of Service

Finivah may refuse, restrict, suspend, or terminate access to all or part of the Services where reasonably necessary because of:

  • violation of these Terms;
  • nonpayment;
  • suspected fraud or unlawful activity;
  • unauthorized access or security risk;
  • misuse or abuse of the Services;
  • material risk to Finivah, customers, third parties, or infrastructure;
  • requests or requirements imposed by law, governmental authorities, or service providers;
  • discontinuation of an applicable Service; or
  • other circumstances where continued access would create material legal, security, operational, or reputational risk.

Where reasonably practicable and legally permitted, Finivah may provide notice or an opportunity to resolve the issue.

Termination does not eliminate obligations or liabilities accrued before termination.

24. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

FINIVAH DISCLAIMS WARRANTIES AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

FINIVAH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT REPORTS, CALCULATIONS, CATEGORIZATIONS, AI OUTPUTS, FORECASTS, OR OTHER RESULTS WILL ALWAYS BE ACCURATE, COMPLETE, OR SUITABLE FOR A PARTICULAR PURPOSE.

NO INFORMATION OR ASSISTANCE PROVIDED BY FINIVAH CREATES A WARRANTY NOT EXPRESSLY PROVIDED IN THESE TERMS.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

25. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FINIVAH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, ANTICIPATED SAVINGS, USE, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES.

To the maximum extent permitted by applicable law, FINIVAH LLC’s aggregate liability arising out of or relating to the Services or these Terms will not exceed the amounts actually paid for the applicable Finivah Services during the twelve (12) months immediately preceding the event giving rise to the claim.

The foregoing limitations apply regardless of the theory of liability and even if Finivah has been advised of the possibility of such damages.

These limitations do not apply to liability that cannot legally be limited or excluded.

26. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless FINIVAH LLC and its affiliates, officers, employees, contractors, and agents from and against third-party claims, liabilities, losses, damages, judgments, fines, penalties, and reasonable costs and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • your unlawful, fraudulent, unauthorized, or improper use of the Services;
  • your violation of these Terms or applicable law;
  • Customer Data or other materials supplied by you;
  • your infringement or violation of another person’s rights;
  • your lack of authorization to access or provide information relating to another person, company, or client; or
  • fraud, willful misconduct, or material negligence attributable to you or persons using the Services through your account.

Finivah reserves the right, at its expense, to assume control of the defense of a matter otherwise subject to indemnification, and you agree to reasonably cooperate in the defense.

27. Governing Law and Venue

These Terms and disputes arising out of or relating to them or the Services are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles, except where federal law or other mandatory applicable law governs.

Subject to mandatory rights that cannot lawfully be waived, the parties consent to the jurisdiction of state and federal courts located in the Commonwealth of Virginia for disputes arising from these Terms or the Services.

Nothing in these Terms prevents either party from seeking appropriate injunctive or equitable relief where available.

28. Changes to These Terms

Finivah may modify or update these Terms from time to time at its discretion.

Updated Terms become effective when posted on this page unless otherwise stated.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

Finivah may, but is not obligated to, provide additional notice of changes. Where notice or consent is required by applicable law, Finivah will provide such notice or obtain such consent as required.

29. Miscellaneous

These Terms, together with the Privacy Policy, Refund & Cancellation Policy, applicable purchase terms, and any separate written service agreement applicable to a particular Service, constitute the agreement between you and Finivah concerning the applicable Services and supersede prior understandings concerning their subject matter.

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.

Finivah’s failure to enforce any provision or right does not constitute a waiver of that provision or right.

You may not assign or transfer these Terms or your rights or obligations under them without Finivah’s prior written consent. Finivah may assign or transfer its rights and obligations in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, change of control, or otherwise as permitted by law.

Section headings are for convenience only and do not affect interpretation.

Provisions that by their nature should survive termination, including provisions concerning intellectual property, payment obligations, disclaimers, limitations of liability, indemnification, governing law, and accrued rights, will survive termination.
